EFFECTIVE MANAGEMENT OF COMPANY BY DIRECTORS IN NIGERIA: ISSUES AND CHALLENGES

Abstract

Directors are among the other officers of the company who are in charge of corporate governance of the company. Corporate governance refers to the processes by which corporate entities particularly limited liability companies are governed. It is the exercise of power over the enterprise, direction, supervision, management and control of enterprise actions, with the concern for the effect of enterprise on other parties, particularly the stakeholders and accountability of corporate administrators.1 Directors play cardinal roles in the administration of a company. They are regarded as trustees of the company as well as its agents.2 Directors also have the general duty to manage the company, to display utmost good faith in accordance with the provisions of the law and the constitution of the company.3 In this article, we are going to look issues and challenges of Directors and settlement of company dispute in Nigeria.
